CNXART.STORE COLLABORATION AGREEMENT 

Art. 1 - Operational Structure

CNXART.STORE is the owner and CEO of the project. For physical production, logistics, and returns, CNXART utilizes the international technical partner Fourthwall. The Creator recognizes CNXART as the sole point of contact for the entire commercial chain.

Art. 2 - Role and Production

The Creator provides raw content (original photos or authorization to use social media content). CNXART.STORE handles the entire aesthetic through professional editing, AI-Upscaling, and technical optimization. Upon specific request, CNXART may limit its work to technical editing of the material as provided.

Art. 3 - Ownership and Licensing

The Creator grants CNXART.STORE the right to use their name and likeness. The final processed works (editing, compositions, and upscaling) are the intellectual property of CNXART.STORE, both during the monthly drop and thereafter.

Art. 4 - Sales Exclusivity

To preserve the "Scarcity" strategy, the Creator agrees not to market the same graphic concepts (physical or digital) on third-party platforms, both during the 30-day drop on CNXART.STORE and at any time thereafter.

Art. 5 - Net Profit

Calculation and Commissions The revenue share is set at 80% for the Creator and 20% for CNXART.STORE. Net profit is calculated by deducting from the sale price:

Taxes: VAT (22% on digital goods) and local taxes on physical goods based on the customer's location.

Payment Fees: Processor costs (Stripe, PayPal, etc.) ranging from 2.9% to 4.99% + a fixed fee.

Direct Costs (Physical Only): Manufacturing and shipping expenses charged by the logistics partner.

Art. 6 - Payments

Payouts will be issued on the 15th day of the following month via PayPal, Stripe, or other agreed-upon platforms.

Art. 7 - Indemnification and Liability

The Creator guarantees full rights to the provided material and shall indemnify and hold CNXART.STORE harmless from any third-party legal claims regarding the original content. CNXART.STORE is not responsible for the misuse of digital files by fans or for logistics partner failures. CNXART.STORE's liability is limited to earned but unpaid commissions.

Art. 8 - Duration and Termination

This is an open-ended agreement. Termination can be exercised at any time, taking effect at the end of the currently active 30-day drop.

Art. 9 - Clause

The Creator acknowledges and agrees that all product sales will be conducted through the cnxart.store platform, and are subject to the site's general Terms of Service regarding logistics, fulfillment, and retail operations.

Art. 10 - Content Rules

⚠️ IMPORTANT: At the moment we do not handle explicit adult content. If you want us to work with a human subject, you can also send photos in swimwear, as long as there are no full or partial nudes. For a specific example: a man can be presented even just in boxers or swimwear, while a woman can also wear a bikini; if she wants to appear topless, our staff will cover sensitive areas with stars or other graphics suitable for the context.
